Construction specification red flags before an international bid: the clauses that can destroy a good price

A construction tender is often lost or won in the specification before it is lost or won in the price. The most dangerous clauses are not always the large technical requirements; they are the sentences that quietly move an uncertain obligation from the Employer to the Contractor without giving the bidder enough information to price it. Examples include 'all works necessary for completion are deemed included,' unconditional reliance disclaimers for Employer data, unlimited responsibility for temporary works, testing at frequencies not reflected in the BOQ, and obligations to relocate utilities or provide access without clear quantities or authority.

The first discipline is document hierarchy. The bid team should identify which document controls when the drawings, specification, BOQ, Employer's Requirements, geotechnical reports and Conditions of Contract disagree. A commercial model built from the BOQ alone is not enough. A zero-quantity item in the BOQ may still be mandatory under the specification; a drawing note may create an obligation not repeated in the BOQ; a Particular Condition may transfer a risk that the technical team assumed remained with the Employer.

A useful tender-control tool is a Specification-to-Price Matrix: clause, drawing/BOQ reference, responsible discipline, pricing assumption, quantity basis, test or acceptance requirement, Employer dependency, clarification question, contingency and residual risk. The purpose is not to produce more paperwork. It is to expose obligations that are not connected to a cost code, schedule activity or contractual relief mechanism before the bid is frozen.

Red flags should not automatically become contingencies. Some risks are priceable; others need clarification, qualification, contractual amendment, alternative design or a no-bid decision. A bidder that simply adds a percentage to every unknown can become uncompetitive while still remaining exposed to the largest risks. The stronger approach is to classify each issue as measurable, insurable, transferable, clarifiable, controllable or fundamentally unbounded.
