Subcontract agreements and flow-down: a construction contractor's master guide

A subcontract is not simply a smaller copy of the main contract. The prime contractor remains responsible to the Employer for the complete contracted result, while the subcontractor is responsible only for the scope, interfaces and liabilities actually transferred through the subcontract. The commercial objective is therefore to identify which upstream obligations must flow down, which need adaptation, and which risks necessarily remain with the main contractor.

The review should begin with a clause-to-clause flow-down matrix rather than a generic statement that the subcontract is 'back-to-back'. Technical specifications, programme dates, access assumptions, testing, quality, HSE, notices, variations, delay exposure, defects obligations, warranties, intellectual property, document submission, insurance, securities and termination consequences should each be mapped independently.

Some upstream mechanisms cannot be copied word for word. A seven-day Employer notice period may require a shorter subcontractor notice period so the main contractor has time to review and issue its own notice. Employer payment certification may also need a separate subcontract valuation mechanism so subcontract cash flow can be administered even when upstream certification is delayed or disputed.

The strongest subcontract packages connect the legal document to practical controls: a scope responsibility matrix, exclusions register, interface schedule, document register, programme milestones, performance-security schedule, insurance matrix, variation procedure and close-out requirements. This turns the agreement into an operating system rather than a document that is opened only when a dispute emerges.
