Direct guarantee vs counter-guarantee: why a correspondent or local issuing bank can multiply tender-bond cost

How direct issuance differs from indirect guarantees, why a foreign bidder may need a local bank or correspondent chain, and where extra fees, collateral and lead time enter the structure.

In a direct guarantee, the bidder's bank or other accepted guarantor issues the undertaking directly to the employer. The commercial chain is relatively simple: applicant, guarantor and beneficiary. If the employer accepts that issuer and the guarantee is enforceable where required, the bidder pays one principal issuance commission plus any messaging, document or amendment charges. This is often the cheapest route, but only when the beneficiary and procurement rules permit a foreign direct issuer.

An indirect guarantee introduces another institution. The bidder's relationship bank issues a counter-guarantee or standby undertaking in favour of a bank in the employer's country; that local or acceptable bank then issues the actual guarantee to the employer. URDG 758 expressly recognizes both demand guarantees and counter-guarantees, and its rules treat them as separate undertakings. The local guarantee therefore does not automatically inherit every term of the counter-guarantee, and mismatches between the two instruments can create cost and risk.

This is where a Turkish contractor may see the price rise sharply. If its Turkish bank has no direct relationship, credit line or comfortable country limit with the required local issuing bank, the transaction may pass through an additional correspondent or confirming institution. The fee stack can then include the Turkish bank's commission, counter-guarantee fee, local issuance fee, correspondent/advising charges, SWIFT charges, legal/document review, country-risk premium, amendment fees and sometimes cash margin or collateral. Each institution also consumes a credit limit, which has an opportunity cost even if the headline commission looks small.

The time cost can be as material as the monetary cost. A direct guarantee might be produced after internal credit approval and wording review. An indirect structure requires at least two institutions to agree on wording, KYC, sanctions screening, counter-guarantee terms, reimbursement mechanics and expiry. If the local bank insists on its own wording or the Turkish bank refuses an open-ended counter-guarantee, negotiations can consume the tender period. Bid teams should therefore test the guarantee route as soon as the tender notice is received, not during the final week.

World Bank and IsDB rules show why local enforceability can trigger such a structure. Both frameworks contain examples where a security from a foreign non-bank institution may need a correspondent financial institution in the employer/borrower country. The exact route still depends on the live document, but the commercial lesson is universal: map the legal issuer required by the beneficiary, then map the shortest credible credit chain from the bidder to that issuer. Do not assume the bidder's domestic bank must itself appear as final issuer.

For pricing, compare routes on an all-in annualized and cash-collateral basis, not on one quoted commission. A useful matrix shows issuer, intermediary chain, annual commission, minimum fee, amendment fee, SWIFT/advising/reissue charges, collateral percentage, collateral funding cost, validity assumptions, expected release date and lead time. A route charging 0.9% with 100% cash margin may be economically worse than a 1.8% route using an unsecured line.
